Jacobus Company LLC (dba Superfly Web Designs)
This Liability Waiver and Disclaimer ("Waiver") is issued by Jacobus Company LLC, a limited liability company organized under the laws of the State of North Carolina, doing business as Superfly Web Designs ("Company," "we," "us," or "our"), in connection with all software products published by the Company ("Software").
By installing, accessing, or using the Software, you ("User") acknowledge that you have read, understood, and agree to be bound by this Waiver.
The Company publishes hosted educational web applications (Degree Pathways, Investment Scenario Lab, Retirement Scenario Lab) and developer tools and plugins that run on your own machine (Case Study Maker, Demo Maker, Git Launcher). Section 1 applies to both. Section 2 applies to the educational applications. Sections 3 and 7 apply to the developer tools. Each product also publishes its own disclaimer, and where the two differ the product's own disclaimer controls for that product.
1. Assumption of Risk
You acknowledge and agree that your use of the Software is entirely at your own risk, and that you assume full responsibility for every decision you make and every action you take or do not take in reliance on it.
For the developer tools, which operate within your local development environment and interact with your project files, source code, and development tools, you assume full responsibility for:
- All consequences of the Software reading, writing, or modifying files on your system
- All content generated by or through the Software
- All actions taken by AI agents operating within or alongside the Software
- All deployments, publications, or distributions of content created using the Software
- All integrations with third-party services initiated through the Software
2. Educational applications: not advice, not a fiduciary, not a forecast
2.1 Educational and illustrative use only
Degree Pathways, Investment Scenario Lab, and Retirement Scenario Lab are educational and illustrative tools. Everything they produce is general information that helps you explore how assumptions, public data, and time interact. Nothing they produce is investment, financial, tax, legal, accounting, academic, admissions, or career advice, and nothing in them recommends that you take, or refrain from taking, any action, or that you buy, sell, or hold any security, fund, asset class, product, or strategy.
2.2 No fiduciary relationship
Jacobus Company LLC is not a registered investment adviser, broker-dealer, or financial planner, and is not registered with the U.S. Securities and Exchange Commission, FINRA, or any state securities authority. The Company is not your fiduciary, investment adviser, broker, financial planner, academic advisor, or counsellor, and owes you no fiduciary or advisory duty of any kind. Using the Software does not create any such relationship. The Company does not evaluate the suitability of anything for you, does not provide personalized or individualized advice, holds no money or assets, custodies no funds, executes and facilitates no transactions, and connects to no brokerage, banking, or investment account.
2.3 Outputs are illustrations, not predictions
All charts, figures, projections, simulations, probabilities, scenario comparisons, and stress tests are hypothetical illustrations generated from the assumptions and inputs you supply — such as expected returns, inflation, contributions, withdrawals, time horizons, and allocation percentages. They are not predictions or forecasts of what will happen, not guarantees of any outcome, return, income, cost, or value, and not recommendations. They are only as reliable as the assumptions entered; different assumptions produce different results, and small changes in inputs can produce large changes in outputs. Past performance does not indicate future results, and no method of projection, including Monte Carlo analysis, can remove that uncertainty.
Any percentage describing simulated outcomes is a property of the model — the share of simulated paths meeting a stated condition under your assumptions — and is not a probability about your actual future.
2.4 Public data describes groups, not you
Where a product presents figures drawn from public datasets — including earnings, cost, completion, and occupation data — those figures are historical statistics for groups of people, typically medians for past cohorts drawn from a defined subpopulation. They describe populations, not individuals; they lag the present by several years; they are not the effect of any choice; and they are not a projection of your result. Data is refreshed on a schedule, and we do not guarantee that any figure is current, complete, or free of error.
2.5 We are not responsible for the accuracy of outputs
WE DO NOT WARRANT THAT ANY FIGURE, CALCULATION, PROJECTION, SIMULATION, DATASET, OR OTHER OUTPUT IS ACCURATE, CURRENT, COMPLETE, REASONABLE, OR ACHIEVABLE, AND WE ACCEPT NO RESPONSIBILITY OR LIABILITY FOR THE ACCURACY OF ANY OUTPUT OR FOR ANY DECISION MADE IN RELIANCE ON IT. TRANSPARENCY OF CALCULATION IS NOT AN ASSURANCE THAT THE ASSUMPTIONS OR THE RESULTS ARE CORRECT.
You should not make any financial, tax, legal, educational, or career decision based solely on output from the Software. Before acting, consult a licensed fiduciary financial professional, a qualified tax adviser, a licensed attorney, or your school's official catalog, advisors, and financial aid office, as appropriate to the decision. The Company is not affiliated with, endorsed by, or sponsored by any college, university, employer, or government agency.
2A. No Professional Advice (all products)
The Software does not provide and is not a substitute for professional advice of any kind, including but not limited to:
- Legal advice — Generated documents are not legal instruments. Consult a licensed attorney for legal matters.
- Financial advice — Any metrics or projections are for informational purposes only.
- Technical advice — Architecture decisions and security recommendations should be independently verified by qualified professionals.
3. AI-Generated Content Disclaimer
The Software leverages artificial intelligence through the host IDE or AI platform. AI-generated content may be inaccurate, incomplete, outdated, inappropriate for your intended purpose, or similar to content produced for other users.
YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VERIFYING, AND APPROVING ALL AI-GENERATED CONTENT BEFORE USE, PUBLICATION, OR DISTRIBUTION. WE DISCLAIM ALL LIABILITY FOR AI-GENERATED CONTENT.
4. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY; IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE; IMPLIED WARRANTIES OF TITLE AND NON-INFRINGEMENT; WARRANTIES OF ACCURACY, RELIABILITY, OR COMPLETENESS; WARRANTIES OF SECURITY OR UNINTERRUPTED OPERATION; AND WARRANTIES OF COMPATIBILITY WITH YOUR SYSTEMS OR SOFTWARE.
5. Limitation of Liability
5.1 Exclusion of Damages
IN NO EVENT SHALL JACOBUS COMPANY LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, OR ANTICIPATED SAVINGS; LOSS OF DATA, GOODWILL, OR REPUTATION; COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; DAMAGES ARISING FROM ERRORS, OMISSIONS, OR INACCURACIES IN GENERATED CONTENT; DAMAGES ARISING FROM SECURITY BREACHES, CREDENTIAL EXPOSURE, OR DATA LOSS; OR ANY OTHER DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE — REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
5.2 Aggregate Cap
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS WAIVER, THE SOFTWARE, OR YOUR USE THEREOF SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).
5.3 Essential Basis
You acknowledge that the limitations of liability set forth in this section are an essential basis of the bargain between you and the Company, and that the Company would not provide the Software without such limitations.
6. Specific Risk Acknowledgments (developer tools)
By using the developer tools described above, you specifically acknowledge and accept the following risks. These risks arise from software that runs on your own machine; they do not describe the hosted educational applications, which run in your browser.
- File System Operations — The Software reads and writes files within your project workspace and may interact with files outside the project root through deployment scripts. File operations may result in data loss, corruption, or unintended modifications.
- AI Agent Autonomy — AI agents may execute actions including file creation, modification, deletion, and shell commands. Enforcement of scope limits depends on the IDE's sandbox and your approval of permissions.
- Deployment and Publication — Deployment actions are irreversible once executed. You are responsible for reviewing all content before deployment.
- Credential Exposure — Despite security measures, credential exposure may occur through misconfiguration, human error, or software defects. You are responsible for credential security and rotation.
- Third-Party Dependencies — The Software may invoke third-party tools that are not developed or controlled by us and may contain vulnerabilities or behave unexpectedly.
7. Indemnification
You agree to indemnify, defend, and hold harmless Jacobus Company LLC, its members, managers, officers, employees, agents, and affiliates from and against any and all claims, actions, suits, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use or misuse of the Software, content you generate or distribute, your violation of this Waiver or any applicable law, your violation of any third-party rights, or your failure to secure credentials or sensitive data.
8. Release of Claims
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY RELEASE AND FOREVER DISCHARGE JACOBUS COMPANY LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES FROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES, LOSSES, AND CAUSES OF ACTION OF ANY KIND, WHETHER KNOWN OR UNKNOWN, ARISING OUT OF OR RELATING TO YOUR USE OF THE SOFTWARE.
IF YOU ARE A RESIDENT OF CALIFORNIA, YOU HEREBY WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH PROVIDES: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY."
9. Governing Law and Jurisdiction
This Waiver shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to this Waiver shall be subject to the exclusive jurisdiction of the state and federal courts located in Mecklenburg County, North Carolina. Nothing in this section deprives a consumer of the protection of mandatory provisions of the law of the place where they reside.
10. Severability
If any provision of this Waiver is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
11. Entire Agreement
This Waiver, together with the applicable LICENSE, Terms of Service, and Privacy Policy, constitutes the complete agreement between you and Jacobus Company LLC regarding the subject matter hereof.
