Jacobus Company LLC (dba Superfly Web Designs)
This Terms of Service agreement ("Agreement") is entered into between Jacobus Company LLC, a limited liability company organized under the laws of the State of North Carolina, doing business as Superfly Web Designs ("Company," "we," "us," or "our"), and any person or entity that accesses, installs, or uses any software published by the Company ("User," "you," or "your").
By installing, accessing, or using our software ("Software"), you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.
1. Description of Software; product-specific terms
The Company publishes two kinds of software.
- Hosted web applications that run in your browser, including Degree Pathways, Investment Scenario Lab, and Retirement Scenario Lab. Some features of these products are offered for a fee.
- Developer tools and plugins for code editors and development environments, including Case Study Maker, Demo Maker, and Git Launcher. These operate locally on your machine and process data within your project workspace unless the product's documentation says otherwise.
Each product publishes its own Terms of Service, Privacy Policy, and Disclaimer, and those product-specific documents govern that product. This Agreement covers the Company's software generally and applies where a product does not publish its own terms. Where this Agreement and a product's own terms conflict, the product's own terms control for that product.
2. License Grant
The Software is proprietary and is licensed, not sold. Subject to this Agreement and to any product-specific terms, we grant you a personal, non-exclusive, non-transferable, revocable license to use the Software for its intended purpose. Where a paid pass or license key is required, that license lasts for the term stated at purchase.
Except to the extent this restriction is prohibited by applicable law, you may not copy, modify, adapt, translate, reverse engineer, decompile, disassemble, create derivative works from, rent, lease, sublicense, sell, publish, or otherwise distribute the Software or any part of it. No rights are granted by implication or estoppel.
Some repositories are published separately under an open-source license. Where a repository includes its own LICENSE file, that license governs the contents of that repository and nothing in this section restricts the rights it grants. Absence of a LICENSE file means no open-source rights are granted.
2.1 Fees, passes, and refunds
Where a product offers paid features, the price, the term, and the number of permitted device activations are stated at the point of purchase and in that product's own terms. Passes are for a fixed term. They are not subscriptions, they do not auto-renew, and access lapses at the end of the term unless you buy a new pass.
Payments are handled by a third-party payment processor acting as merchant of record. Fees are non-refundable except as required by applicable law or by the payment processor's buyer policy, which applies to your purchase regardless of anything in this Agreement.
3. User Responsibilities
3.1 Scope and Permissions Management (developer tools)
This Section 3.1 applies to the developer tools and plugins described in Section 1. You are solely responsible for managing the scope and permissions granted to the Software and any AI agent that interacts with it. This includes:
- Reviewing and approving all file system access requests
- Configuring IDE sandbox settings appropriately for your environment
- Reviewing generated outputs before publishing or deploying them
- Managing API keys, credentials, and environment variables securely
3.2 Content Responsibility
You are solely responsible for all content processed by, generated by, or published through the Software, including but not limited to case study text, media assets, marketing pages, demo videos, and any content deployed to websites or shared publicly.
3.3 Credential Security
You must store API keys and credentials securely using environment variables excluded from version control or a dedicated secrets manager such as 1Password CLI. You must not hardcode credentials in source files or commit them to version control. We are not responsible for credential exposure resulting from improper storage.
3.4 Compliance
You are responsible for ensuring your use of the Software complies with all applicable laws, regulations, and third-party agreements, including but not limited to data protection laws, intellectual property rights, and employment agreements.
4. AI-Generated Content
Where the Software uses AI capabilities provided by a host IDE or AI platform, content generated by the AI is provided on an "as-is" basis. We make no representations or warranties regarding the accuracy, completeness, legal sufficiency, or fitness for any purpose of AI-generated content. You must review all generated content before use or publication.
4.1 Educational tools: no professional advice, and no reliance
Degree Pathways, Investment Scenario Lab, and Retirement Scenario Lab are educational and illustrative tools. Everything they produce is general information for exploring how assumptions and public data interact. Nothing they produce is investment, financial, tax, legal, accounting, academic, admissions, or career advice, and nothing in them is a recommendation to take or refrain from taking any action.
The Company is not a registered investment adviser, broker-dealer, or financial planner, and is not registered with the U.S. Securities and Exchange Commission, FINRA, or any state securities authority. The Company is not your fiduciary and owes you no fiduciary duty. The Company does not provide personalized advice, does not assess whether anything is suitable for you, holds no money or assets, and executes no transactions.
Projections, simulations, comparisons, probabilities, and scenario outputs are hypothetical illustrations of the assumptions and inputs you supply. They are not predictions, forecasts, or guarantees of any outcome, and past performance does not indicate future results. Earnings, cost, and outcome figures drawn from public datasets are historical group statistics; they describe populations, not individuals, and they are not a projection of any individual's result.
We do not warrant that any figure, calculation, projection, or dataset is accurate, current, complete, or achievable, and we are not responsible for the accuracy of any output. You are solely responsible for any decision you make. You should not make any financial, tax, legal, educational, or career decision based solely on output from the Software. Before acting, consult a licensed fiduciary financial professional, a qualified tax adviser, a licensed attorney, or your school's official catalog, advisors, and financial aid office, as appropriate to the decision.
5. No Warranty
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JACOBUS COMPANY LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.
7. Indemnification
You agree to indemnify, defend, and hold harmless Jacobus Company LLC, its members, managers, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Software; (b) your violation of this Agreement; (c) your violation of any applicable law or regulation; (d) content you generate, publish, or distribute using the Software; or (e) your negligence or willful misconduct.
8. Intellectual Property
The Software, including its design, text, code, and data models, is the property of Jacobus Company LLC and is protected by copyright and other intellectual property laws. All rights not expressly granted in Section 2 are reserved. Where a repository is published under its own open-source license, that license governs the contents of that repository. You retain all rights to content you create using the Software.
9. Data Handling
The Software operates locally on your machine. We do not collect, transmit, or store your personal data, project data, or generated content. Any data processing performed by AI features is governed by your IDE provider's terms of service and privacy policy.
10. Third-Party Services
The Software may integrate with third-party services (GitHub, ElevenLabs, Figma, etc.) at your direction. Your use of third-party services is governed by their respective terms. We are not responsible for the availability, accuracy, or practices of third-party services.
11. Termination
You may terminate this Agreement at any time by uninstalling and ceasing use of the Software. We may terminate or suspend your access at any time, with or without cause, with or without notice.
12. Modifications
We reserve the right to modify this Agreement at any time. Updated terms will be posted at this URL. Your continued use of the Software after changes are posted constitutes acceptance of the modified terms.
13. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of laws principles, together with applicable U.S. federal law. Any dispute arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located in Mecklenburg County, North Carolina, and you consent to the personal jurisdiction of those courts. Nothing in this section deprives a consumer of the protection of mandatory provisions of the law of the place where they reside.
14. Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
15. Entire Agreement
This Agreement, together with the applicable LICENSE, Privacy Policy, and Liability Waiver, constitutes the entire agreement between you and Jacobus Company LLC regarding the Software.
